eclosque — Full License Terms
This license agreement ("License") is a legal agreement between you ("Licensee" or "you") — the individual person indicated as the licensee at the time of purchase, or that person's employer if they are acting on the employer's behalf and with the employer's authorization — and Anastasija Panfilova, trading online as eclosque / eclosque creative ("Licensor", "I", "we", "my", "me"), based in Latvia, the creator and owner of the Design Assets sold on Etsy, this website, and any other platform where eclosque products are listed.
All designs, graphics, templates, and digital products by eclosque ("Design", "Designs", "Design Asset(s)", "Licensed Asset") are original works protected by copyright law. Copyright is never transferred with a sale or license purchase — copyright remains with Anastasija Panfilova at all times, regardless of which license is purchased.
eclosque reserves the right to update or change the terms of this License Agreement at any time. The version in effect at the time of purchase applies to that purchase.
Important notice: By completing the purchase of any Design Asset, the Licensee confirms that they have read this license agreement and agree to its terms. If you do not agree to these terms, you do not have the right to purchase, download, or use any of the Design Assets offered by eclosque. By purchasing, you agree to be bound by the terms below, including the limitations on liability in Section 7.
There are six license types, used across different product categories:
Standard License — for backgrounds & design assets
Commercial License — for backgrounds & design assets
Enhanced Commercial License — for backgrounds & design assets (as-is use allowed)
Extended Commercial License — for backgrounds & design assets (team access + expanded rights)
Social Media Template License — for editable social media templates (one combined license, no tiers)
Planner / Worksheet / Workbook Commercial License — for printable planners, worksheets & workbooks (one combined license, no tiers)
The applicable license is determined by which listing/license option the Licensee purchases. Read the relevant section below carefully — only the section matching your purchase applies to your use.
Section 7 — General Terms applies to all license types and should be read in full.
1. STANDARD LICENSE — Backgrounds & Design Assets
For creators, freelancers, and one-person businesses who need Design Assets for their own brand, marketing, websites, and content, but do not sell products incorporating the Design Asset.
Licensee: Individual · Seats: one user/seat per license Sales: not included (see Section 1.2)
eclosque grants the Licensee a non-exclusive, non-transferable, worldwide right to use the Design Asset as follows, subject to the limitations in Sections 1.2, 9, and 10.
1.1 Permitted uses
Personal DIY projects and art prints — for your own home, gifts, or personal keepsakes, not for sale.
Your own social media accounts — personal or business.
Your own website, blog, email marketing, packaging, and promotional materials — personal or business.
School, educational, or hobby projects that are not for sale.
Internal business use for one brand or business.
End Products for personal branding purposes, such as business cards, website banners, thank you cards, social media posts and business-related packaging design, can be used "as is" for these purposes (see Section 7.3 for what counts as an end product).
1.2 Not included in the Personal License
Physical or digital end products for sale
Client work of any kind
Sharing files with team members, employees, or collaborators
Redistributing, sharing, or reselling the original files
Print-on-demand (POD) platforms
Native apps, web apps, browser extensions, or games
2. COMMERCIAL LICENSE — Backgrounds & Design Assets
For creators, freelancers, and businesses using eclosque graphics in their own brand or in client work. As-is use: allowed for digital marketing, not for physical products. For branding, identity, and sellable products, the design must be modified — or purchase Enhanced or Extended License for as-is use.
Licensee: Individual or company · Seats: one user/seat per license · Sales cap: up to 5,000 combined end products (see Section 7.3 for what counts as an end product).
2.1 Permitted uses
Your own brand: social media, marketing, websites, packaging, email campaigns, branding materials.
Client work: the design may be used as part of a project delivered to a client. If the client wishes to edit or reuse the design independently of the delivered project, they need their own license.
Physical and digital end products for sale, including but not limited to wedding invitations & stationery, art prints, paper goods, packaging, branding, eBooks, courses, and planners — up to 5,000 combined end products (per Section 7.3).
Unlimited physical advertising for local markets.
Digital paid advertising with unlimited impressions.
Broadcast and streaming for up to 500,000 lifetime viewers.
Digital marketing, social media, and web use: The Design Asset may be used "as-is" for creating social media graphics, website banners, email headers, and digital advertisements for your own brand or for client projects, provided that:
The use is for display purposes only (posts, stories, ads, websites).
The end user (viewer) cannot download, extract, or reproduce the Design Asset as a standalone file.
This "as-is" permission for digital marketing does not extend to physical products or any other digital End Products (e.g. prints, packaging, merchandise, branding for client) — those still require modification or an Enhanced/Extended License.
The 5,000-unit limit applies to the license purchase as a whole, not to individual files within a pack. If you purchase a pack containing multiple designs, all physical and digital end products created using any of those designs count toward the same 5,000-unit limit.
Note on modification: For any End Product that is offered for sale (including physical items like invitations and planners, as well as digital products like eBooks and courses), the design must form part of your own creative work — combine it with your own elements, add text, adjust colours, or build a new composition. The end result should feel like yours, not a reproduction of the original file. The end product must not derive its primary value from the Design Asset itself (see Section 7.3 for the full explanation and examples).
Print-on-demand (POD): Allowed only if the design is modified and incorporated into your own unique design — not used as-is, and not extractable by the end customer.
2.2 Not included in the Commercial License
Redistributing or sharing the original files
Any use that gives an end user direct access to the original file
Using the design "as-is" for End Products (prints, merchandise, packaging) or Print-on-Demand without modification (see Enhanced Commercial).
Selling the artwork itself as a standalone print/poster
Native apps, web apps, or games
Sharing the original files with a team, staff or anyone else (see Extended Commercial)
More than one business social media account
3. ENHANCED COMMERCIAL LICENSE — Backgrounds & Design Assets
Everything in the Commercial License, plus the ability to use the Design Asset as-is.
Licensee: Individual or company · Seats: one user/seat per license · Sales cap: up to 5,000 combined end products.
3.1 Permitted uses
All Commercial License uses (Section 2.1), plus:
As-is use for items for sale, except wall art prints and POD. The design does not need to be modified or combined with other elements to be sold as part of an end product (e.g. used prominently as a planner cover, greeting card design, wedding invitation, or calendar for sale).
The 5,000-unit limit applies to the license purchase as a whole, not to individual files within a pack. If you purchase a pack containing multiple designs, all physical and digital end products created using any of those designs count toward the same 5,000-unit limit.
Important — what "as-is" does and doesn't allow: Even where as-is use is permitted, the end product must not derive its only value from the Design Asset itself. Selling the artwork alone as a print or poster is prohibited, because without the artwork the product has no value of its own — it's just paper. Selling a planner that uses the artwork on the cover is permitted, because the planner has independent value beyond the artwork. See Section 7.3 for more examples.
Print-on-demand (POD): Allowed, but the design must still be modified before use — as-is use is not extended to POD platforms under this license.
3.2 Not included in the Enhanced Commercial License
Redistributing or sharing the original files
Any use that gives an end user direct access to the original file (e.g. downloadable or extractable digital assets)
Selling the artwork itself as a standalone print/poster
POD use without modification
Native apps, web apps, or games
More than one business social media account
Sharing the original files with a team, staff or anyone else (see Extended Commercial)
4. EXTENDED COMMERCIAL LICENSE — Backgrounds & Design Assets
Everything in the Enhanced Commercial License, plus team access and expanded reach.
Licensee: Individual or company · Seats: multiple team members/staff covered under one license · Sales cap: up to 5,000 combined end products.
4.1 Permitted uses
All Enhanced Commercial License uses (Section 3.1), plus:
Unlimited business social media accounts.
Team access: the original files may be shared internally with team members or staff for the purpose of producing permitted end products. Sharing outside the team, or with subcontractors not bound by this agreement, is not covered.
Unlimited physical advertisements for local, national, and global markets.
One native app, web app, or game that is downloaded or sold up to 250,000 times.
As-is use: Same as Enhanced Commercial (Section 3.1) — design may be used as-is for items for sale, except wall art prints and POD, which still require the design to be modified, and the design may never be resold or redistributed as a standalone file.
4.2 Not included in the Extended Commercial License
Redistributing or sharing the original files outside your own team
Any use that gives an end user direct access to the original file
Selling the artwork itself as a standalone print/poster
More than one native app, web app, or game per license purchased
6. PLANNER, WORKSHEET & WORKBOOK COMMERCIAL LICENSE
For entrepreneurs, coaches, educators, designers and small businesses using eclosque planner, worksheet, or workbook designs in their own offer.
Licensee: Individual or company · Seats: one user/seat per license
6.1 Permitted uses
Use within your business: print and distribute to your own clients at sessions, workshops, consultations, or events.
Incorporate into your own course, program, membership, or coaching package.
Use as a lead magnet — distribute under your own brand and name, free or as part of a funnel.
Adapt to your brand: add your logo, colours, and text, and sell the adapted product as your own.
Client projects: Use in client projects is permitted. Each client/end user who wishes to to edit, reuse, or distribute the design independently, must obtain their own license.
6.2 Not included
Reselling or sharing the original, unedited file as-is
Claiming authorship of the original design or template structure itself
Redistributing the source/editable file to anyone else, including clients
7. GENERAL TERMS — apply to all license types above
7.1 Trademark and copyright
The Design Asset may not be used as part of a trademark, service mark, design mark, or trade name. The Licensee may not claim the Design Asset, or any modification of it, as their own original copyrighted work. Copyright always remains with Anastasija Panfilova (eclosque). New trademarks are registered daily, and eclosque cannot be held responsible if the Licensee independently creates and sells a phrase or design that turns out to be trademarked elsewhere.
For the purposes of this License, "Design Asset" (used interchangeably with "Licensed Asset", "Design", or "Graphics") means any digital file(s) you have purchased from eclosque, regardless of content type — including but not limited to backgrounds, patterns, illustrations, textures, photos, typography, or other visual elements. "End Product" means the final physical or digital item you create using the Design Asset and sell or deliver to a client (defined in detail in Section 7.3).
7.2 Strictly prohibited uses (apply regardless of license tier)
Reselling, redistributing, or sublicensing the Design Asset, or any modification of it, in source file form.
Reselling or sublicensing the Design Asset (or a modification of it) in a way that is directly competitive with the original — for example, as a competing clip art set, stock asset, or template pack.
Making the Design Asset available in any way that allows others to download, extract, or redistribute it as a standalone file, separate from the permitted end use.
Uploading or distributing the Design Asset to third-party template platforms (e.g. Templett, Corjl, or similar) where end users can access, edit, or duplicate the source file is not permitted under any license.
Using the Licensed Asset in pornographic, fraudulent, immoral, infringing, illegal, harassing, offensive, or defamatory material.
Falsely representing authorship or ownership of the Design Asset.
Any use not expressly permitted in the relevant section above.
Sublicensing to third parties beyond what is expressly permitted in this Agreement.
7.3 End Products and "primary value" — definitions and examples
Definition — "End Product": An End Product means the final physical or digital item, project, or deliverable that the Licensee creates and provides to an end user, customer, or client — for example, one printed planner, one digital invitation file sold to one customer, one course bundle, or one installed/displayed instance of a design (such as one website page view or one digital advertisement impression). Where a single purchase by an end customer includes multiple items (e.g. a multi-card stationery set sold as one listing), each individual item within that set counts separately toward the sales cap, not the listing as a whole. The 5,000-unit sales cap referenced throughout this License applies to the combined lifetime total of such End Products, instances, impressions, or installations (as applicable to the type of use), across all uses of the Design Asset under that license purchase.
To qualify as a permitted End Product under the Commercial-tier licenses, the result must: (i) be significantly different from the Design Asset in its original form, (ii) require meaningful time, effort, and skill on the Licensee's part to produce, and (iii) not derive its primary value from the Design Asset itself, as explained further below.
"Primary value" — definitions and examples:
This concept appears across the Commercial-tier licenses and is one of the most common points of confusion, so here is a fuller explanation with examples:
Not allowed: Selling a physical/digital art print of the Design Asset, with no other elements added. Without the artwork, the product has no value — it's just paper.
Not allowed: Selling the Design Asset as a sticker, decal, or single clip-art file with nothing added.
Allowed (Commercial): Using the Design Asset as one element within a larger composition — for example, as a background layer in a wedding invitation that also includes your own typography, layout, and additional design elements.
Allowed (Enhanced/Extended, as-is): Using the Design Asset prominently and unmodified as a planner cover, where the planner itself (pages, structure, content) provides the product's real value.
If in doubt about whether a specific use crosses this line, feel free to reach out before purchasing — clarifying upfront is always easier than resolving it after a sale.
7.4 Future technologies
This license is limited to the uses expressly permitted in the relevant section. Future or not-yet-existing technologies and uses are reserved by eclosque and are not automatically included within the scope of any current license.
7.5 Termination
This License may be terminated immediately, by written notice (email), if the Licensee breaches this Agreement and fails to remedy the breach (where remediable) within 7 days of being notified. Upon termination, all rights granted under this License cease immediately, and the Licensee must stop all activities that were authorized under it.
7.6 Warranties
The Licensee's use of the Design Asset is at the Licensee's own risk. The Design Asset is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.
7.7 Limitation on liability
In no event will eclosque (Anastasija Panfilova), its affiliates, or their service providers, employees, agents, officers, or representatives be liable for damages of any kind, under any legal theory, arising out of or in connection with this License Agreement or the Licensee's use of, or inability to use, the Licensed Asset — including any indirect, special, incidental, consequential, or punitive damages, such as loss of revenue, profits, business, anticipated savings, goodwill, or data, whether arising in tort (including negligence), intellectual property infringement, breach of contract, or otherwise, even if foreseeable. This does not affect any liability that cannot be excluded or limited under applicable law (including consumer protection law applicable in Latvia/EU).
7.8 Notices
All notices to eclosque under this Agreement should be sent via the contact form on the eclosque website, or via Etsy direct message for purchases made through Etsy. All notices to the Licensee will be sent to the email address provided at the time of account creation or purchase.
7.9 Upgrading a license
If you purchased a lower license tier and later need broader rights (for example, moving from Commercial to Enhanced or Extended Commercial), you can simply purchase the higher-tier license — your existing files remain valid, and the new license governs your use going forward. eclosque does not offer refunds on a lower-tier license when upgrading, but reach out if you have a specific situation, and we'll try to find a fair solution.

5. SOCIAL MEDIA TEMPLATE LICENSE
For editable social media templates.
Licensee: Individual or company · Seats: one user/seat per license
5.1 Permitted uses
Use across your own personal or small business social media accounts (Instagram, Pinterest, Facebook, TikTok, etc.).
Edit and customise the template with your own text, colours, photos, fonts, and branding.
Use for posts, stories, reels covers, highlight covers, and similar in-platform content.
Client projects: Use in client projects is permitted. Each client/end user who wishes to to edit, reuse, or distribute the design independently, must obtain their own license.
5.2 Not included
Printing or selling the template as a physical product
Reselling or redistributing the template file as-is (modified or unmodified)
Using the template for client projects — each client/end user needs their own license to use the template for their own account
Sharing the original template file with others, including teams or staff
Uploading the template file to third-party platforms (e.g. Canva link-sharing, Templett) where others can access or duplicate the source file, unless expressly agreed in writing
